This Writing Agreement (this Agreement) is made effective as of the date below, by and between Pamela Burks, Writer and Client.

COPYWRITER AGREEMENT

Section One

DESCRIPTION OF SERVICES. 
Pamela Burks, the “Writer” will provide services (collectively, the “Services”) outlined in the addendum, monthly to the client. The writer will thoroughly research and create content for Client’s readers that align with the goals and objectives defined in the addendum.

RELATIONSHIP OF PARTIES. 
It is understood by all parties that Pamela Burks, “Writer” is an independent contractor with respect to the Client, and is not an employee of the Client or the Clients’ Business and will not provide fringe benefits, including health insurance benefits, paid vacation or any other employee benefits, for the benefit of Pamela Burks.

Section Two

WORK PRODUCT OWNERSHIP. 
Any copyrightable works, ideas, discoveries, inventions, patents, products or other information (collectively, the “Work Product”) developed in whole or in part by Pamela Burks in connection with the Services in this agreement for The Client or the Clients’ Business shall be the exclusive property of the Client.  Upon request, Pamela Burks shall sign all documents necessary to confirm or perfect the exclusive ownership of the Client to the Work Product.

PAYMENT FOR SERVICES. 
The Client will be invoiced at the beginning of the team or the month or one-time payment annual retainer for the Services agreed upon in the addendum. Payment shall be made electronically.

CONFIDENTIALITY. 
Pamela Burks will not at any time or in any manner, either directly or indirectly, use for the personal benefit of Pamela Burks, or divulge, disclose, or communicate in any manner any information that is proprietary to the Client. Pamela Burks will protect such information and treat it as strictly confidential.  This provision shall continue to be effective after the termination of this Agreement.  Upon termination of this Agreement, Pamela Burks will return to the Client all records, notes, documents and other items that were used, created, or controlled by Pamela Burks during the term of this Agreement.

Pamela Burks may request testimonial(s) from the Client to use online or in marketing materials.

INDEMNIFICATION.  
The Client agrees to indemnify and hold harmless Pamela Burks from all claims, loses, expenses, fees including attorney fees, costs and judgments that may be asserted against Pamela Burks that result from acts of omissions from Clients' family and employees, if any, and Clients' agents.

Section Three

TERM/TERMINATION.
This Agreement shall remain in effect until either party submits via email, 30-day notification prior to the termination date.

ENTIRE AGREEMENT. 
This Agreement contains the entire agreement of the parties and there are no other promises or conditions in any other agreement whether oral or written.

SEVERABILITY.
 
If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable.  If a court finds that any provision of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.

APPLICABLE LAW. 
The Agreement shall be governed by the laws of the State of Georgia.

SIGNATORIES. The Agreement shall be signed by Pamela Burks, Writer and the Client.  This Agreement is effective as of the date above.
